These are the Terms of Service for TechSage IT solutions. This "Agreement" is a legal agreement between you (either an individual or an entity that you are representing, hereinafter "you") and TechSage IT solutions and its suppliers and licensors (collectively TechSage IT solutions") for the TechSage IT solutions Services ("Services"). By using for or purchasing the services or by accepting this agreement you acknowledge that you have read this agreement, that you understand it, that you agree and accept the terms as presented herein. You may only receive the Services if you are a Service subscriber in good standing with a valid, account with TechSage IT solutions. The services are for a limited Time only; failure to use the services within the subscription period shall not ground for a secure of ANY FEES PAID.
"Services" means TechSage IT solutions's Support Services, which are TechSage IT solutions's chat and phone based computer optimization and PC cleaning services as set forth on the TechSage IT solutions web site. The Services include virus diagnosis, virus removal, PC tune-up, Internet login protection, email account setup, software installation, printed setup, printer support, and general computer trouble shooting services. The scope of the services is subject to change without notice, and TechSage IT solutions may discontinue or modify the Services in its sole discretion. "Software" means any software used by TechSage IT solutions in connection with the Services.
Technical Support Services are provided only via phone, Internet chat and secure desktop sharing. Services are provided upon Subscriber's contacting TechSage IT solutions support as explained on the TechSage IT solutions Subscriber authorizes TechSage IT solutions to configure its computers and delete the files that TechSage IT solutions deems unnecessary to a computer's operation. Subscriber gives TechSage IT solutions express permission to alter the registry of any computer receiving the Services as needed to provide the Services. The Services may require additional software. Subscriber gives TechSage IT solutions express permission to install, configure, and use such software on Subscriber’ computers.
To provide the Services, TechSage IT solutions must access a computer or network receiving the Services over the Internet. A high speed Internet connection is highly recommended in order to avoid delays or problems with the Services. Subscriber is solely responsible for providing an Internet connection and access to its computers. Subscriber must assist TechSage IT solutions in any manner necessary to diagnose the computer and provide the Services. Failure to fully cooperate with the TechSage IT solutions representative shall be considered a breach of this Agreement. All instructions and steps taken in providing the Services shall be left to the TechSage IT solutions representative's sole discretion. Subscriber warrants that use of the Services complies with all applicable computer and network policies. Prior to receiving the Services, Subscriber must have administrator rights to the computer, have a back-up of all data on the computer, and provide TechSage IT solutions with correct and accurate information.
You may be asked to provide us with a credit card number from a card issuer that we accept in order to activate your Service. You hereby authorize TechSage IT solutions to charge and/or place a hold on your credit card with respect to any unpaid charges for Services or any related equipment. You authorize the issuer of the credit card to pay any amounts described herein without requiring a signed receipt, and you agree that these charges are to be accepted as authorization to the issuer of the credit card to pay any amounts described herein without requiring a signed receipt, and you agree that these charges are to be accepted as authorization to the issuer of the credit card to pay all such amounts. You authorize TechSage IT solutions and/or any other company who bills products or services, or acts as billing agent for TechSage IT solutions to continue to attempt to charge and/or place holds with respect to all sums described herein, or any portion thereof, to your credit card until such amounts are paid in full. You agree to provide TechSage IT solutions with updated credit card information upon TechSage IT solutions’s request and any time the information you previously provided is no longer valid. You acknowledge and agree that neither TechSage IT solutions nor any TechSage IT solutions affiliated company will have any liability whatsoever for any non-sufficient funds or other charges incurred by you as a result of such attempts to charge, and/or place holds on, your credit card. If you mistakenly provide a debit card number, instead of a credit card number, you authorize all charges described herein to be applied to such debit card unless and until you provide a credit card number. In the event you are enrolled, or later enrol, in an automatic payment or electronic funds transfer, you agree that all sums described herein may be charged, at TechSage IT solutions ’s option, to the account number provided for such automatic payment or electronic funds transfer. When payment is made by credit card or debit card, payment will also be subject to the terms and conditions established by the credit or debit card issuer.
No credit card information of a customer is stored. Nor at any point in time charges are levied without any explicit consent. Clients cannot shift from a instant plan to any other plan. An accommodation for the amount can be made at the behest of terms and conditions suggested by an account manager.
You agree to indemnify, defend and hold harmless TechSage IT solutions, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. TechSage IT solutions reserves the right, at its own cost, to assume the exclusive defences and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with TechSage IT solutions in asserting any available defences.
In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms and Conditions, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrators award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding or arbitration arises out of or concerns these Terms and Conditions, the prevailing party shall be entitled to recover its costs and reasonable attorney's fees. The parties agree to arbitrate all disputes and claims in regards to these Terms and Conditions or any disputes arising as a result of these Terms and Conditions, whether directly or indirectly, including Tort claims that are a result of these Terms and Conditions. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms and Conditions.
Notwithstanding anything contrary to an agreement would TechSage IT solutions be held liable for paying in excess any amount under an Order Plan considered to be subject of a dispute. The TechSage IT solutions Portal and any content provided through it is provided on an "as is" and "as available" basis, except where expressly provided otherwise.
Any content posted by a client and transmitted to TechSage IT solutions should directly comply with India/US cyber laws and or copyright laws of a client's respective country. Any data shared with us would be the intellectual property of that person or a third-party from which the content has been sourced. TechSage IT solutions would not own any rights to such issues. Any queries or resolutions posted on forums would become property of TechSage IT solutions. TechSage IT solutions reserves the right to remove any content deemed as inappropriate from its website without assigning any reason.
The recipient availing the services must be 13 years or more. Only a human must benefit from the services provided. An account can only be used by one person. This single account has a limited scope of usage as defined by number of PCs in the agreement. A client would further need to purchase support for additional PCs if the need arises. TechSage IT solutions reserves the right to provide services only for issues and software listed on the website. Any software issues and services falling beyond such a scope do not entitle TechSage IT solutions to provide services.
The services portfolio is to be only delivered through mediums such as Phone, Chat and e-mail. The onsite module is not included as a model for providing services.
At no point in time TechSage IT solutions would be liable to provide support for any hardware issues related to PCs, Servers, Printers, Routers and Wireless Access Devices. The organization does not offer replacement or takes responsibility for any malfunctioning computer part. No warranty on hardware and software covered under the support plan would be provided. TechSage IT solutions is not responsible for maintaining security of a PC including user name and password. Neither shall the organization be held liable for any loss or damage resulting from a failure to comply with a security obligation. 10-PC users are requested not to share their computer user name and password with support professionals at any time. If accidentally shared the password must be changed immediately. TechSage IT solutions cannot be held responsible for any loss or damage resulting from a data theft taking place on a user's computer. PC users must actively monitor a remote session initiated by a TechSage IT solutions technician. At any time the failure to do so and any data theft or loss arising from an unattended remote session or the absence of a technician would absolve TechSage IT solutions from any untoward consequences. Further, at no point in time the same service should be used for any illegal or unauthorized purpose by the client. Nor at the same time clients should end up violating any rights applying to their jurisdictional territory.
All actions and interactions with regards to computer support should be in compliance with cyber laws of India, US or one's country of residence. TechSage IT solutions as a merchant would be under no liability whatsoever in respect of any loss or damage arising directly or indirectly out of a decline of authorization for any Transaction. Nor at any time would a liability become binding in the case of a cardholder exceeding the preset limit mutually agreed upon by the acquiring bank at any time.
The use of TechSage IT solutions services portfolio is to be made by the client at his own discretion. This service is either provided on an as is and as available basis. Technical support service is made available only to clients who have paid the subscription charges. The same service is provided either through e-mail, chat or phone or via remote session. The services are made available only in English. Other languages would be entertained only on a best effort basis. TechSage IT solutions reserves the right to use 3rd party vendors and hosting partners for providing the necessary hardware, software, networking and other related technologies for running the service. At no point in time services should be modified or resold to a 3rd party unless specified by TechSage IT solutions. Any liability arising from such a scenario would be solely borne by the client. The organization reserves the right to remove Content and Accounts containing content that in its discretion is unlawful, threatening, offensive, libelous, defamatory, pornographic and objectionable. Amounting to violating a party's intellectual property or terms of service.
Any verbal, physical or written abuse (including threats of abuse or retribution) of an employee would result in immediate account termination.
Clients need to take note any technical processing and transmission of services including content might be transferred in an unencrypted manner and may (a) involve transmissions over various networks (b) changes for conforming or adapting to technical requirements of connecting networks and devices. No request would be entertained for posting, hosting or transmission of unsolicited e-mails, SMSs, or spam messages. Transmission of any worms, viruses or any code of a destructive nature would not be entertained. At no point in time TechSage IT solutions warrants services offered will meet specific requirements, services would be uninterrupted, timely, secure or error-free, the results obtained from the use of services would be accurate or reliable, the quality of any products, services, information or other materials purchased would be within one's expectations and lastly would any errors in the service would be corrected. TechSage IT solutions cannot be held responsible for any direct, indirect, incidental, special, consequential or exemplary damages leading to loss of profits, goodwill, use, data or other intangible losses (even if in a the scenario where TechSage IT solutions services has been advised of a possibility of such damages), resulting from: o the use or the inability to use the service o the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service o unauthorized access to or alteration concerning transmission of data o statements or conduct of any third party on the service o Or any other matter relating to the service. Any liability would be limited to the value of service contract. The failure of TechSage IT solutions to exercise or enforce any rights or the Terms of Service will not amount to a waiver of such right or provisions. The Terms of Service constituting the entire agreement between TechSage IT solutions and its clients govern the use of the Service, superseding any prior agreements made with TechSage IT solutions (including, but not limited to, any prior versions of the Terms of Service).
TechSage IT solutions is an independent provider of remote tech support for third party products. Any use of third party trademarks, brand names, product and services is only referential. TechSage IT solutions hereby disclaims any sponsorship, affiliation or endorsement of or by any third-parties.
